Part 1 – Introduction & Agreement to Terms

These Terms & Conditions (“Terms”) govern your access to and use of the Dizignate website (https://dizignate.com), products, and services (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must discontinue use of our Services immediately.

These Terms apply to:

Visitors browsing our website.

Registered customers who subscribe to our marketing, CRM, automation, booking, and HIPAA-compliant solutions.

Any individual or entity engaging with Dizignate for campaigns, consultations, or platform usage.


A. Who We Are

Dizignate (“we,” “our,” “us”) is a digital solutions provider specializing in marketing automation, CRM platforms, advertising campaigns, and HIPAA-compliant services for healthcare and aesthetic industry clients.


B. Acceptance of Terms

Signing up for an account, or

Using any of our Services,

you acknowledge that you:

Have read, understood, and accepted these Terms.

Are of legal age to form a binding contract.

Are authorized to act on behalf of your business or organization, if applicable.


C. Modifications to Terms

We reserve the right to modify or update these Terms at any time. When we make changes, we will update the “Effective Date” and post the revised Terms on our website. Continued use of our Services after such changes means you accept the updated Terms.

Services Provided & Scope of Use

A. Our Services

Dizignate provides a range of digital solutions, which may include:

Digital Marketing Services – Planning, managing, and optimizing advertising campaigns on platforms such as Meta (Facebook & Instagram), Google Ads, and other digital channels.

CRM & Marketing Automation – Access to our software platform for lead management, automated follow-ups, email/SMS marketing, and appointment scheduling.

Booking & Calendar Solutions – Multi-day booking calendars and integrated payment solutions for service-based businesses.

HIPAA-Compliant Solutions – Secure tools for healthcare and aesthetic clients to collect, store, and transmit Protected Health Information (PHI) in compliance with U.S. HIPAA regulations.

Custom Web Development & Funnel Building – Designing and launching high-conversion websites and sales funnels tailored to client industries.

Email & SMS Campaign Services – Setup, strategy, and execution of direct outreach campaigns.


B. Scope of Use

When using our Services, you agree to:

Use them only for lawful business purposes.

Comply with all applicable laws and regulations, including GDPR, CCPA, DPDP Act, and HIPAA (if applicable).

Maintain the confidentiality of your account login credentials.

Be responsible for all activities conducted under your account.


C. Restrictions

You must not:

Use our Services to transmit or store unlawful, harmful, defamatory, obscene, or fraudulent content.

Attempt to gain unauthorized access to our systems, other users’ accounts, or restricted areas of the platform.

Use our Services for spamming, phishing, or distributing malware.

Reverse-engineer, copy, or resell our platform without written permission.

Input PHI into non-HIPAA-compliant features of our platform (unless explicitly designated as HIPAA-secure).


D. Third-Party Services

Some features may integrate with third-party tools (e.g., payment gateways, analytics providers, ad networks). You acknowledge that:

These third-party services are subject to their own terms and privacy policies.

We are not responsible for issues arising from those third-party services.

Payment Terms & Subscription Policy

A. Pricing & Billing

Subscription Plans – Our services may be offered on a subscription basis (monthly, quarterly, or annually) or as one-time projects. The pricing for each plan or service will be provided at the time of purchase.

Currency – All fees are quoted and payable in USD (for international clients) or INR (for Indian clients), unless otherwise stated.

Taxes – All prices are exclusive of applicable taxes, which will be added as required by law (e.g., GST in India, sales tax in certain jurisdictions).


B. Payment Methods

We accept payments via:

Credit/Debit Cards

Razorpay (for Indian clients)

Stripe (for international clients)

Bank Transfer (available on request)

By providing payment information, you authorize us to process and store your payment details securely.


C. Billing Cycle

Subscription fees are billed in advance for the upcoming billing cycle.

Automatic renewal will apply unless you cancel your subscription before the renewal date.

Failure to make payment by the due date may result in service suspension or termination.


D. Refund Policy

Subscription Services – We do not offer refunds for partially used subscription periods.

One-Time Services – Once work has commenced, payments are non-refundable.

Free Trials – If you are on a free trial, you will not be billed until the trial ends. Cancel before the trial ends to avoid charges.


E. Late Payments

If payment is overdue:

We may suspend your account until the balance is cleared.

A late payment fee may be applied.

We reserve the right to terminate services for accounts more than 30 days past due.


F. Price Changes

We reserve the right to modify pricing for future billing cycles. Any price change will be communicated to you at least 30 days in advance.

Intellectual Property & License Grant

A. Ownership of Content & Materials

Our Intellectual Property – All materials, software, tools, website designs, graphics, logos, text, videos, and other content provided by Dizignate (“Dizignate Content”) are owned by or licensed to us and are protected by copyright, trademark, and other applicable intellectual property laws.

Your Content – You retain ownership of any content, data, or materials you upload or provide to us for the purpose of delivering our Services (“Client Content”).

Work Product – Unless otherwise agreed in writing, all custom designs, campaigns, and deliverables we create for you remain our property until full payment is received. Upon full payment, you receive the rights as outlined in your service agreement.


B. License to Use Our Services

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our platform and services for your business purposes, subject to these Terms.

You agree not to:

Copy, modify, or create derivative works of Dizignate Content.

Distribute, resell, or sublicense our platform without written permission.

Use our intellectual property in any manner that could damage our reputation or brand.


C. Use of Client Content

By providing Client Content, you grant us a worldwide, royalty-free, non-exclusive license to store, process, and use it solely for the purpose of delivering our Services.

For healthcare clients, any Protected Health Information (PHI) is handled in accordance with HIPAA regulations and is not used for marketing purposes without explicit written authorization.


D. Trademarks

“Dizignate,” our logo, and any other service marks are trademarks owned by us. You may not use these marks without prior written consent, except as allowed under applicable law.

Disclaimers & Limitation of Liability

A. General Disclaimer

Our Services are provided “as is” and “as available”, without warranties of any kind, whether express or implied, including but not limited to warranties of:

Merchantability

Fitness for a particular purpose

Non-infringement

Accuracy or completeness of results

We make no guarantees that:

Your advertising campaigns will generate a specific number of leads, sales, or revenue.

Our platform will be uninterrupted, timely, secure, or error-free.

Third-party integrations will always function without issues.


B. HIPAA & Compliance Disclaimer

For clients using our HIPAA-compliant services:

We implement security measures to safeguard Protected Health Information (PHI) in line with HIPAA standards.

You, as the covered entity, remain responsible for ensuring that any PHI you enter into our system is only done in HIPAA-designated areas and is collected with proper patient consent.

We are not liable for violations caused by improper use, storage, or sharing of PHI by you or your team.


C. Limitation of Liability

To the fullest extent permitted by law:

Dizignate and its officers, employees, and affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill, even if we were advised of the possibility of such damages.

Our total liability for any claim arising out of or relating to these Terms or our Services will not exceed the total amount you paid to us in the 3 months preceding the claim.


D. Third-Party Services

We are not responsible for:

The performance or actions of third-party services integrated into our platform (e.g., payment gateways, ad networks).

Losses or damages caused by third-party software failures, policy changes, or service outages.

Termination, Governing Law & Dispute Resolution

A. Termination by You

You may terminate your account or subscription at any time by providing written notice to [email protected].

For subscriptions, termination will take effect at the end of your current billing cycle unless otherwise agreed.

No refunds will be issued for unused service periods unless stated in a separate written agreement.


B. Termination by Us

We reserve the right to suspend or terminate your account, without refund, if:

You violate these Terms or any applicable law.

You fail to pay subscription or service fees.

You misuse our platform, services, or intellectual property.

Continued service would create a security risk or legal liability for us.


C. Effects of Termination

Upon termination:

Your access to the platform and services will be revoked.

We may retain data as required by law or delete it upon your request (subject to applicable retention obligations).

For HIPAA-covered clients, PHI will be returned or securely destroyed in accordance with HIPAA requirements and our Business Associate Agreement (BAA).


D. Governing Law

These Terms will be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

If you are based in the United States, HIPAA compliance requirements will apply in addition to Indian laws.


E. Dispute Resolution

Negotiation – In the event of a dispute, both parties agree to attempt resolution through informal negotiations before pursuing legal remedies.

Arbitration – If a dispute cannot be resolved, it will be settled through binding arbitration in Pune, Maharashtra, India, under the rules of the Arbitration and Conciliation Act, 1996.

Exceptions – We may seek injunctive relief in court to protect our intellectual property or enforce confidentiality obligations.
